Job Position: Corporate Legal Counsel

Job Description
- This role is to ensure the Group adheres to legal standards and in-house policies.
- The role is also responsible for enforcing regulations in all aspects and levels of the business as well as providing guidance on legal and compliance matters.
- The goal is to preserve the company’s integrity by making sure it stays on a lawful and ethical course.
Job Responsibilities
Legal Functions:
- Prepare and monitor the goals/strategies for the Legal & Compliance department
- Oversee the formulation of legal functions and strategies to ensure minimal interruptions to company operations from third parties
- Provide legal advice on all business transactions with third parties including all legal documents and publications to avoid or minimize exposure to potential litigation
- Attend business and transactional meetings with different business units, department and affiliate companies with a view to providing legal guidance to the transactions and businesses
- Work closely with the Contract Specialist to coordinate the drafting, vetting, and review of all legal documents and agreements relating to all operations within the Group (e.g. supplier/vendor contracts, insurance contracts, employee contracts, service level agreements) and ensure company standards are properly complied with before signing new deals/executing the agreements
- Conduct training and presentation to Management on various legal aspects of the businesses with a view to achieving legal compliance.
- Oversee the preparation of legal guidelines for projects to mitigate against possible litigation, arbitration, staff and/or community unrest and other situations capable of disrupting company operations
- Monitor changes in relevant legislation and the regulatory environment, and advise management on current legislation, regulatory issues, or legal risks that might impact the Group’s strategies and operations
- Liaise with the Group’s attorneys/external legal service providers to defend the company in all litigation cases and ensure the company’s interests are protected at all times.
Company Secretarial functions:
- Prepare and submit briefs for consideration of the Executive management to aid in decision making as well as attend the Management meetings where required.
- Provide legal advice and secretarial services to the Group on compliance with applicable rules and regulations
- Propose corporate governance structures for the Group
- Provide legal and corporate governance advice to the Executive Management and Board (where required) on decisions reached at meetings.
- Recommend, draft and file resolutions of the Board or Shareholders’ meetings as may be required
- Draft and review governance and other policies for the Group
- Provide advice to the Board on best corporate governance practices that can or might be adapted as well as changes in regulations when they arise
Compliance Functions:
- Evaluate the efficiency of controls and improve them continuously
- Review procedures, reports etc. periodically to identify hidden risks or non-conformity issues
- Draft, modify and implement company policies in conjunction with the HR team
- Liaise with Government agencies to ensure that the Group obtains relevant licenses, permits and approvals for business operations
- Assess the business’s future ventures to identify possible compliance risks
- Review the work of colleagues when necessary to identify compliance issues and provide advice or training where needed
- Keep abreast of regulatory developments within and outside of the company as well as evolving best practices in legal compliance
- Prepare reports for senior management and external regulatory bodies as appropriate.
General Function:
- Perform any other duty that may be assigned by the CEO.
Job Requirements
- Bachelor’s Degree in Law.
- Licensed to practice law from the State Bar Association.
- 7-10 years’ experience as a corporate lawyer.
- Excellent communication skills, both verbally and in writing.
- Highly analytical with strong attention to detail.
- Outstanding managerial and negotiation skills.
