Job Position: Head, Human Resources / Company Secretary

Job Location: Apapa, Lagos

Job Description
Human Resources:

  1. Talent Sourcing, Sorting and Selection
  2. Handling Recruitment and Hiring
  3. Managing Training & Development Initiatives
  4. Managing & Improving Communication
  5. Managing Organizational & Company Culture
  6. Creating Safe and Inclusive Work Environment
  7. Overseeing and Managing Payroll, Benefits & Compensation
  8. Managing Conflicts, Disciplinary Actions & Terminations
  9. Coordinating Staff Performance Appraisal & Management
  10. Liaison with Relevant Third-Party Service Providers – HMOs, Pension Administrators, Industrial Training Funds (ITF), Underwriters etc.
  11. Developing, Reviewing and Managing HR or HCM Policies and enforcing Compliance

Company Secretary:

  1. Advising, and enforcing adherence to Extant rules, policies and procedures
  2. Periodic Review of Businesses, Processes and Procedures and ensuring that they align with corporate objectives.
  3. Issuing Notices, Preparing Agenda and other Relevant Documents for Board Meeting in consultation with the Board Chairman.
  4. Attend Board Meetings and Ensure Relevant Legal requirements are fulfilled.
  5. Arrange AGM, Other Extraordinary Meetings in Consultation with the Chairman.
  6. Document Shares Allotment to Shareholders, Issuing Share Certificates, Conducting Shares Transfers and Maintaining Shares Register.
  7. Engaging Company Legal Advisors on litigation or other relevant matters.
  8. Keeping Custody of Company seal.

Legal:

  1. Preparing, Approving Signing and Sealing Agreements, other Legal Forms on behalf of the company.
  2. Keeping records of the proceedings of all meetings.
  3. Ensure regular and prompt filling of relevant returns and ensure Directors’ formulated policies are implemented.
  4. Maintain relevant registers.
  5. Reviewing Offer Letters and other Documents relating to Agreements and or Contracts
  6. Participating in Loan Agreements, Negotiations or Re-financing and Restructuring
  7. Synergizing with Risk Management Team on Loan Recovery Measures and Initiatives
  8. Reviewing Corporate Accounts and enforcing Corporate/Legal Search on them
  9. Participating in Management Credit Committee Meetings and ensuring adherence to terms of Reference and Credit Terms
  10. Filling Annual and other Relevant Returns with Corporate Affairs Commission on a Regular

Job Requirements

  1. A graduate Degree in Law (minimum Of Second Class Lower).
  2. Member of the Nigerian Bar Association.
  3. A minimum 3 years post NYSC experience.
  4. Sound knowledge of Microsoft Office applications especially Word, PowerPoint and Excel.
  5. Excellent written & verbal communication skills.
  6. Strong knowledge of corporate law; commitment and enthusiasm in the delivery of the organization’s objectives.
  7. Ability to exercise sound judgment and discretion.
  8. Good understanding of general and specific Company and commercial law.
  9. Excellent team working ability to ensure smooth operation in the Legal Unit as a whole.
  10. Good research skills.
